Before you sign a business agreement
A practical checklist for understanding obligations, costs and risk.

Start with the scope
Identify exactly what each party must deliver. Ask whether the agreement describes the work, exclusions, milestones and acceptance process clearly. A useful review starts with understanding the commercial arrangement, not just the document title.
Look closely at payment
Check when invoices may be issued, when payment is due and whether payment depends on a milestone, approval or another party paying first. Understand deposits, retention, deductions and additional charges.
Understand how the relationship can end
Read notice periods, termination triggers and what happens to work in progress, payments and confidential information. Ask how a change to the agreed work will be documented.
Get the right support
Keep the proposed agreement and related correspondence. Ask a consultant to explain ordinary commercial terms within their scope. Obtain assistance from an admitted professional when your matter involves reserved work or proceedings.
